RightRoute Pay Terms of Service.

Introduction

These Terms of Service ("Terms") govern your access to and use of the RightRoute Pay website at https://www.rightroutepay.com, public web pages, portals, payment links, contact forms, onboarding flows, demo requests, SMS/RCS opt-in pages, email communications, support channels, payment-related communications, and other public-facing or user-facing services that link to or reference these Terms.

RightRoute Pay provides payment, provider-payment, billing, payment-routing, member-support, merchant-support, provider-support, transaction-management, and related financial technology services. RightRoute Pay may support self-funded health plan administration, member navigation, direct provider payment, cash-pay healthcare options, and related benefit or payment workflows.

RightRoute Pay is wholly owned by Baker Benefits Administrators, Inc.. RightRoute Pay may work with Baker Benefits Administrators, Inc., its affiliates, customers, employers, health plans, providers, payment processors, banks, card networks, service providers, and other approved partners to deliver the services.

These Terms apply to https://www.rightroutepay.com and wherever they are posted, linked, incorporated, or referenced, including through Baker Benefits Administrators, Inc. pages, portals, payment links, onboarding workflows, communications, or documents.

Customer deployments, employer agreements, plan agreements, provider agreements, merchant agreements, processor agreements, platform agreements, bank partner agreements, data protection agreements, service orders, fee schedules, underwriting terms, payment terms, Business Associate Agreements, and similar signed or accepted contracts are governed by those written agreements. If these Terms conflict with a signed agreement or service-specific agreement between RightRoute Pay and a customer, employer, plan, provider, merchant, partner, or user, the signed or service-specific agreement controls for that relationship.

Please read these Terms, our Privacy Policy, and any service-specific or payment-specific agreements carefully. By using public-facing services, submitting information, participating in messaging, accessing a payment workflow, or otherwise interacting with RightRoute Pay, you agree to these Terms.

1. Relationship to Privacy, HIPAA, Payment Services, and Other Agreements

Our Privacy Policy explains how we collect, use, protect, retain, and share information through websites, forms, analytics, SMS/RCS consent flows, payment services, support channels, and related services. Our Privacy Policy also explains cookies and similar technologies. Section 7 of these Terms describes SMS, RCS, WhatsApp, and similar messaging programs, including opt-in, opt-out, HELP/STOP behavior, carrier disclaimers, message frequency, and messaging data practices.

Certain RightRoute Pay services may also be governed by additional agreements, including customer agreements, employer agreements, health plan documents, provider agreements, merchant agreements, processor agreements, payment gateway agreements, Business Associate Agreements, data protection agreements, service orders, fee schedules, risk terms, underwriting terms, bank partner terms, card network rules, ACH rules, or other service-specific terms.

In some customer deployments, RightRoute Pay may handle protected health information ("PHI") or electronic protected health information ("ePHI") on behalf of Covered Entity customers or Business Associate partners. PHI/ePHI is governed by applicable Business Associate Agreements, customer instructions, HIPAA/HITECH requirements, and applicable compliance controls.

These Terms are intended to govern general access to public-facing and user-facing services. They do not replace any signed customer agreement, employer agreement, provider agreement, Business Associate Agreement, payment processor agreement, bank partner agreement, card network rule, or legally required privacy or financial notice that applies to specific services.

2. RightRoute Pay Services

RightRoute Pay may provide or support payment-related and benefit-related services, including payment routing, direct provider payment, cash-pay healthcare workflows, provider search support, member navigation, appointment navigation, billing support, invoicing, settlement support, transaction monitoring, payment communications, refunds, reversals, reconciliation, reporting, fraud prevention, account support, merchant support, provider support, and related services.

Depending on the service, payments may be processed by third-party payment processors, acquiring banks, issuing banks, card networks, automated clearing house operators, payment gateways, settlement providers, or other financial institutions.

RightRoute Pay is not responsible for delays, declines, holds, reversals, chargebacks, errors, outages, provider availability, provider pricing changes, eligibility issues, plan-data errors, or restrictions caused by third-party payment processors, banks, card networks, financial institutions, payment gateways, providers, employers, health plans, customer systems, telecommunications providers, or other third parties outside our reasonable control.

You agree to provide accurate, complete, and current information when using services. You also agree that RightRoute Pay and its approved service providers may use information you provide to verify identity, verify business information, process payments, prevent fraud, comply with law, comply with customer instructions, comply with payment network requirements, manage risk, and provide support.

3. Eligibility and Account Responsibility

The public-facing services are intended for users who are at least 18 years old. By using them, you represent that you are at least 18 and that your use complies with applicable law.

If you create an account, access a portal, access a payment workflow, submit onboarding information, act on behalf of a business, employer, plan, provider, merchant, or customer, or use any password-protected service, you represent that:

  • You are authorized to act on behalf of the applicable individual, business, employer, health plan, provider, merchant, customer, or organization.
  • The information you provide is accurate, complete, and current.
  • You will keep login credentials, authentication codes, API keys, payment credentials, account access information, and one-time passcodes confidential.
  • You will promptly notify RightRoute Pay if you believe your account, payment method, credentials, transaction data, member data, provider data, or communications have been compromised.
  • You are responsible for all activity that occurs under your account, credentials, authorized users, or instructions, except to the extent caused by RightRoute Pay's own failure to meet an applicable legal or contractual obligation.

4. Verification, Underwriting, Risk Review, and Compliance

RightRoute Pay may require identity verification, business verification, provider verification, beneficial ownership information, tax information, bank account information, sanctions screening, fraud review, risk review, transaction monitoring, compliance review, or other checks before providing or continuing certain services.

You agree to provide information reasonably requested for verification, underwriting, fraud prevention, security, risk management, legal compliance, tax reporting, payment processing, HIPAA/HITECH compliance, payment network requirements, processor requirements, bank requirements, customer requirements, or provider-payment requirements.

RightRoute Pay may approve, reject, suspend, limit, delay, or terminate access to services if we believe information is inaccurate, incomplete, misleading, fraudulent, unlawful, high-risk, prohibited by policy, prohibited by a payment processor or bank partner, prohibited by customer instructions, or otherwise inconsistent with these Terms or applicable agreements.

RightRoute Pay may place holds, reserves, limits, reviews, or restrictions on transactions or accounts where permitted by applicable agreement, law, payment network rule, processor requirement, bank requirement, customer instruction, or risk policy.

5. Payment Authorization and Direct Provider Payment

If you initiate, authorize, submit, approve, or participate in a payment through RightRoute Pay or related services, you represent that you are authorized to use the payment method, account, card, bank account, wallet, funding source, plan funds, customer funds, or other payment instrument provided or referenced.

You authorize RightRoute Pay and its service providers to transmit, process, route, debit, credit, refund, reverse, settle, reconcile, or otherwise administer the payment according to your instructions, applicable agreements, payment network rules, bank requirements, processor requirements, customer instructions, plan rules, and applicable law.

You are responsible for confirming payment details before submitting or approving a transaction, including recipient, provider, amount, account information, invoice information, billing information, member information, service information, payment timing, and any related instructions.

RightRoute Pay may decline, delay, cancel, reverse, hold, or review transactions where permitted by law, agreement, processor requirement, bank requirement, payment network rule, customer instruction, risk policy, fraud concern, compliance concern, security concern, or provider-payment workflow requirement.

6. Fees, Taxes, Refunds, Chargebacks, and Disputes

Fees, pricing, billing terms, settlement timing, reserves, refund rights, chargeback obligations, dispute procedures, and tax responsibilities may be described in a separate agreement, order form, invoice, checkout page, pricing page, customer agreement, employer agreement, plan agreement, provider agreement, merchant agreement, processor agreement, or service-specific terms.

Unless otherwise stated in an applicable agreement, you are responsible for fees, taxes, duties, assessments, penalties, chargebacks, reversals, returns, insufficient-funds items, disputes, refunds, and other amounts associated with your use of the services. Fees may be deducted from settlement amounts, charged to a payment method, invoiced, or collected through another approved method.

Refunds, reversals, and chargebacks may not include a refund of processing fees unless required by law or expressly agreed in writing. RightRoute Pay may cooperate with processors, banks, card networks, ACH operators, employers, health plans, providers, merchants, customers, law enforcement, regulators, and other parties to investigate and resolve payment disputes. Nothing in these Terms limits rights that cannot be waived under applicable law.

7. Messaging Terms

RightRoute Pay may offer SMS, RCS, WhatsApp, email, or similar messaging programs for eligible users, members, customers, employers, providers, merchants, and transaction participants. Messaging may include account alerts, payment confirmations, provider-payment updates, payment reminders, security notifications, onboarding messages, support communications, service updates, or other communications related to your relationship with RightRoute Pay or a participating customer, employer, plan, provider, or transaction participant.

Messaging programs are governed by these Terms, applicable consent records, applicable laws, customer instructions, carrier rules, and service-specific agreements. Message and data rates may apply. Message frequency may vary. You may opt out of SMS/RCS messaging by replying STOP. You may request help by replying HELP.

Do not send medical emergencies, payment card numbers, bank credentials, passwords, one-time passcodes, highly sensitive information, or secrets through public or unsecured messaging channels unless specifically instructed through an approved secure workflow.

RightRoute Pay does not sell, rent, buy, or share SMS/RCS opt-in consent data with third parties or affiliates for their own marketing or promotional purposes.

No mobile information will be shared with third parties or affiliates for marketing or promotional purposes.

8. Acceptable Use

When using websites, services, forms, messaging channels, payment portals, or related systems, you agree not to:

  • Use the services for unlawful, fraudulent, deceptive, abusive, harmful, or unauthorized purposes.
  • Submit false, misleading, inaccurate, incomplete, fraudulent, or unauthorized information.
  • Use RightRoute Pay to process payments for goods, services, activities, or transactions that are illegal, prohibited, restricted, deceptive, unsafe, infringing, or not authorized by RightRoute Pay, customers, processors, bank partners, or payment networks.
  • Attempt to gain unauthorized access to systems, accounts, networks, source code, transaction data, payment data, member data, provider data, customer data, PHI/ePHI, or non-public areas.
  • Interfere with, disrupt, overload, scan, probe, or test the security or availability of websites, services, networks, or systems without written authorization.
  • Upload, transmit, or introduce malware, malicious code, harmful content, unauthorized automation, or materials that violate another person's rights.
  • Scrape, harvest, copy, or collect information in a way that violates law, privacy rights, intellectual property rights, health privacy obligations, customer instructions, or these Terms.
  • Impersonate another person or entity or misrepresent your affiliation, authority, eligibility, provider status, employer status, customer status, or transaction role.
  • Submit content that is false, misleading, defamatory, obscene, discriminatory, harassing, threatening, abusive, or otherwise objectionable.
  • Use the services to evade sanctions, money laundering controls, fraud controls, tax obligations, health plan rules, payment network rules, processor requirements, bank requirements, or legal requirements.
  • Reverse engineer, decompile, disassemble, or attempt to derive source code, algorithms, routing logic, risk models, fraud models, pricing logic, plan logic, underwriting logic, or non-public system logic except to the extent such restriction is prohibited by law.
  • Use bots, scripts, crawlers, automation, or excessive requests in a way that disrupts or burdens websites, services, systems, or users.

We may suspend, restrict, delay, block, or terminate access; refuse, reverse, hold, or review transactions; remove content; or take other appropriate action if we believe these Terms, applicable agreements, laws, customer instructions, payment network rules, processor requirements, bank requirements, HIPAA/HITECH obligations, or risk policies have been violated.

9. Prohibited or Restricted Businesses and Transactions

Certain businesses, industries, products, services, providers, payment methods, locations, or transaction types may be prohibited or restricted by RightRoute Pay, customers, payment processors, bank partners, card networks, ACH operators, provider agreements, health plan rules, or applicable law.

Examples may include illegal goods or services, fraudulent transactions, deceptive practices, counterfeit goods, unauthorized sales, sanctions-related activity, certain high-risk financial products, certain adult content, gambling, weapons, controlled substances, money services, debt collection, credit repair, investment products, or other categories identified by RightRoute Pay or its partners.

RightRoute Pay may reject, restrict, monitor, hold, reverse, or terminate transactions or accounts associated with prohibited or restricted activity. The availability of services to a particular business, provider, industry, location, transaction type, payment method, employer, plan, or customer is not guaranteed and may change based on risk, compliance, legal, processor, bank, payment network, customer, or provider requirements.

10. Submissions and Communications

If you submit a form, request a demo, send a message, schedule a meeting, provide onboarding information, request support, submit documentation, or otherwise communicate with us, you represent that the information you provide is accurate and that you have the right to provide it.

You authorize RightRoute Pay to use that information to respond to you, provide requested information, operate the services, support accounts, maintain records, verify identity, evaluate eligibility, process payments, support provider-payment workflows, manage risk, prevent fraud, comply with law, comply with customer instructions, and fulfill the purposes described in our Privacy Policy.

Do not submit medical emergencies, PHI, medical details, claim details, payment card numbers, bank credentials, passwords, one-time passcodes, government identification documents, confidential business information, regulated data, or other sensitive information through public forms or unsecured channels unless the channel has been specifically approved for that purpose.

11. Healthcare, Benefits, and Payment Disclaimer

RightRoute Pay is not a medical provider, emergency service, insurer, health plan, bank, financial advisor, legal advisor, tax advisor, accountant, investment advisor, or fiduciary unless expressly stated in a signed agreement.

RightRoute Pay may support member navigation, provider-payment workflows, cash-pay healthcare options, benefit-related communications, direct provider payment, payment routing, billing support, and related administrative services. RightRoute Pay does not provide medical diagnosis, treatment, emergency care, or professional medical advice.

Coverage, eligibility, provider availability, provider pricing, cash-pay pricing, plan terms, member responsibility, and payment availability may depend on employer plan documents, health plan data, provider data, third-party systems, payment processors, customer instructions, and other sources outside RightRoute Pay's control.

Members should consult their health plan, plan documents, provider, employer, plan administrator, emergency services, or qualified healthcare professional for medical, emergency, coverage, eligibility, or benefits decisions.

12. No Financial, Legal, Tax, or Professional Advice

The services may provide payment information, transaction status, routing support, billing support, cost information, provider-payment support, reporting, alerts, or administrative tools, but they do not provide legal, tax, accounting, investment, lending, credit, or professional advice. You are responsible for consulting qualified professionals regarding legal, tax, accounting, financial, compliance, healthcare, or business decisions.

13. Service Availability and Changes

RightRoute Pay may update, modify, suspend, limit, replace, or discontinue all or part of websites or services at any time, subject to applicable agreements and law.

We do not guarantee that websites, payment services, provider-payment services, messaging services, support channels, APIs, portals, integrations, or third-party services will be uninterrupted, error-free, secure, available, accurate, complete, or compatible with your systems at all times.

Service availability may depend on third-party processors, banks, card networks, ACH operators, payment gateways, telecommunications providers, hosting providers, identity verification vendors, fraud prevention vendors, customers, employers, health plans, providers, and other service providers.

14. Third-Party Services and Links

The services may link to, integrate with, or rely on third-party services, including payment processors, banks, card networks, payment gateways, identity verification providers, fraud prevention vendors, analytics providers, communications providers, scheduling providers, hosting providers, customer support providers, provider systems, health plan systems, and other vendors.

Third-party services are governed by their own terms, privacy policies, rules, and requirements. RightRoute Pay is not responsible for third-party websites, services, systems, errors, outages, delays, decisions, policies, or practices that we do not control. Your use of third-party services may require you to accept additional terms or provide additional information.

15. Data, Privacy, and Security

Your use of the services is subject to our Privacy Policy and any applicable data protection, security, HIPAA, Business Associate Agreement, customer, or service-specific agreements.

RightRoute Pay uses reasonable administrative, technical, and organizational safeguards designed to protect information in our custody or control. However, no website, network, system, payment method, or transmission method is completely secure. You are responsible for maintaining the confidentiality of your credentials, devices, accounts, payment instruments, authorized users, and communication channels.

RightRoute Pay may access, preserve, disclose, or use information where reasonably necessary to operate services, provide support, process payments, prevent fraud, investigate security incidents, comply with law, comply with legal process, enforce agreements, satisfy regulatory obligations, satisfy payment network requirements, comply with customer instructions, or protect rights, safety, security, and integrity.

16. Intellectual Property

The websites, services, software, text, graphics, logos, designs, trademarks, service marks, documentation, workflows, interfaces, payment-routing logic, provider-payment logic, risk logic, reports, data models, APIs, and other RightRoute Pay materials are owned by RightRoute Pay, Baker Benefits Administrators, Inc., or their licensors and are protected by intellectual property and other laws.

Except as expressly allowed by these Terms or a signed agreement, you may not copy, modify, distribute, publicly display, create derivative works from, reverse engineer, or exploit RightRoute Pay materials. Subject to these Terms, RightRoute Pay grants you a limited, revocable, non-exclusive, non-transferable right to access and use public-facing services for their intended purpose. No rights are granted except as expressly stated in these Terms or an applicable written agreement.

17. Feedback

If you provide suggestions, comments, ideas, improvements, feature requests, or other feedback, you grant RightRoute Pay and Baker Benefits Administrators, Inc. a perpetual, irrevocable, worldwide, royalty-free right to use, modify, commercialize, and incorporate that feedback without restriction or compensation to you. You represent that you have the right to provide the feedback and that it does not contain confidential information unless we have agreed otherwise in writing.

18. Confidentiality

Certain non-public information made available through the services may be confidential, including pricing, business terms, technical documentation, security information, transaction data, customer data, member data, provider data, account information, payment information, APIs, credentials, reports, health plan information, and non-public product information.

You agree to protect confidential information from unauthorized access, use, or disclosure and to use it only for the purpose for which it was provided. This section does not limit any more specific confidentiality obligations in a signed agreement.

19. Disclaimers

The websites and public-facing services are provided "as is" and "as available." To the fullest extent permitted by law, RightRoute Pay disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation.

RightRoute Pay does not guarantee that:

  • The services will be uninterrupted, error-free, secure, or available at all times.
  • Payment, provider-payment, or benefit-navigation services will be available for every user, business, provider, transaction, location, payment method, employer, health plan, or industry.
  • Transactions will be approved, settled, completed, reversed, refunded, or received within any particular timeframe.
  • Provider pricing, plan information, provider availability, member responsibility, eligibility, or payment availability will always be complete, current, or error-free.
  • Third-party processors, banks, card networks, ACH operators, gateways, vendors, carriers, providers, employers, health plans, customers, or service providers will perform without error or delay.

Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.

20. Limitation of Liability

To the fullest extent permitted by law, RightRoute Pay will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, lost goodwill, business interruption, payment delays, declined transactions, failed transactions, chargebacks, reversals, unauthorized access, provider pricing changes, eligibility errors, plan-data errors, or similar losses arising out of or related to your use of, or inability to use, the services.

To the fullest extent permitted by law, RightRoute Pay's total liability for claims arising out of or related to these Terms, public-facing services, or user-facing services will not exceed the greater of $100 or the amount you paid directly to RightRoute Pay for the specific service giving rise to the claim during the three months before the claim arose.

For customer deployments, merchant services, provider-payment services, paid services, processor services, plan services, or partner services governed by a signed agreement, the liability limitations in that agreement control for that relationship. Nothing in these Terms limits liability that cannot be limited under applicable law.

21. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold RightRoute Pay, Baker Benefits Administrators, Inc., their affiliates, officers, directors, employees, contractors, service providers, licensors, and agents harmless from claims, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising from or related to:

  • Your misuse of the services.
  • Your violation of these Terms or another applicable agreement.
  • Your violation of applicable law, customer instructions, HIPAA/HITECH obligations, payment network rules, processor requirements, bank requirements, or third-party terms.
  • Your submissions, content, instructions, payment information, provider information, member information, account information, or transaction activity.
  • Your fraud, negligence, willful misconduct, or unauthorized activity.
  • Your infringement or violation of another person's rights.
  • Your failure to obtain required authorizations, consents, approvals, licenses, or permissions.

This section does not limit any indemnification obligations in a signed agreement.

22. Suspension and Termination

RightRoute Pay may suspend, restrict, limit, or terminate access to websites or services if we believe:

  • You violated these Terms or another applicable agreement.
  • Your activity is fraudulent, suspicious, unlawful, abusive, high-risk, unauthorized, or inconsistent with customer instructions.
  • Your information is inaccurate, incomplete, or misleading.
  • Your activity may create legal, financial, security, regulatory, reputational, operational, payment, health privacy, or customer risk.
  • A customer, employer, health plan, provider, payment processor, bank partner, card network, ACH operator, regulator, court, or law enforcement authority requires or requests action.
  • Continued access could harm RightRoute Pay, Baker Benefits Administrators, Inc., customers, members, providers, merchants, partners, vendors, systems, or the integrity of services.

Termination does not relieve you of obligations that accrued before termination, including payment obligations, dispute obligations, chargeback obligations, confidentiality obligations, indemnification obligations, and obligations intended to survive termination.

23. Electronic Communications and Consent

By using the services, submitting information, creating an account, accessing a payment workflow, or communicating with RightRoute Pay electronically, you consent to receive communications electronically. Electronic communications may include notices, agreements, disclosures, payment confirmations, provider-payment updates, transaction updates, support messages, security alerts, policy updates, and other service-related communications.

You agree that electronic communications satisfy any legal requirement that communications be in writing, to the extent permitted by law. You are responsible for maintaining current contact information and for reviewing communications sent to your email address, phone number, account dashboard, portal, or other communication channel.

24. Changes to These Terms

We may update these Terms from time to time to reflect changes in services, technologies, legal requirements, payment methods, processor requirements, bank requirements, health plan requirements, customer requirements, risk policies, ownership structure, or business practices. When we make changes, we will post or provide the updated Terms and update the "Last Updated" date.

Your continued use of public-facing or user-facing services after updated Terms are posted or provided means you accept the updated Terms, subject to applicable law. For services governed by a signed agreement, changes will be handled according to that agreement.

25. Governing Law and Disputes

These Terms are governed by the laws of the State of Louisiana, without regard to conflict-of-law principles.

Any dispute arising from or relating to these Terms or the public-facing services will be resolved in the state or federal courts having jurisdiction over Calcasieu Parish, Louisiana, unless a signed agreement between RightRoute Pay and a customer, employer, plan, provider, merchant, partner, or user provides otherwise. You and RightRoute Pay consent to the personal jurisdiction and venue of those courts.

26. General Terms

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent. RightRoute Pay may assign these Terms as part of a merger, acquisition, corporate transaction, financing, reorganization, sale of assets, or transfer of business.

These Terms, together with the Privacy Policy and any applicable service-specific terms, form the agreement between you and RightRoute Pay for public-facing and user-facing services. Headings are for convenience only and do not affect interpretation.

Sections that by their nature should survive termination will survive, including payment obligations, confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, dispute terms, and general terms.
